Oracle solutions business Red Rock Consulting, a UXC (ASX:UXC) subsidiary, has finalised an agreement to acquire Australia and New Zealand’s largest JD Edwards service provider, Jigsaw Services, for a combination of cash and shares.

The acquisition of Jigsaw Services is designed to add a strategic piece to Red Rock’s stable of ERP applications capabilities, which now include Oracle, PeopleSoft, SQL Server now JD Edwards.

Founded in 2001, Adelaide-based Jigsaw Services has more than 85 staff and recorded revenue of $12.9 million for FY06.

Jonathan Rubinsztein, co-CEO Red Rock Consulting said, “The acquisition of Jigsaw Services gives Red Rock a strategic leadership position across the Oracle Applications portfolio.”

“There has been significant consolidation within the ERP vendor community. Oracle’s acquisition of PeopleSoft and Siebel are examples of that. Now customers are demanding similar consolidation from service providers. They want to deal with one organisation for licences, solutions and services – and Red Rock can offer that.”

Greg Woollett, co-CEO Red Rock Consulting said, “The acquisition of Jigsaw Services is in line with Red Rock’s strategy of bringing companies on board that have proven skills in Oracle applications and are leaders in their field. It brings us one step closer to our goal of offering customers complete Oracle lifecycle solutions.”

Oracle’s General Manager, Applications Alliances and Channels for Australia and New Zealand, Warren Brugger said, “As a combined force Red Rock Consulting and Jigsaw Services can now cover all of Oracle’s ERP and technology solutions. The joint business can also cover all sectors of the market from large enterprises through to the fast growing mid-market, where we are seeing huge momentum with the JD Edwards solution.”

Jigsaw Services will operate as an autonomous business unit within Red Rock Consulting Group, with Andrew McAdams remaining as the Chief Executive of Jigsaw Services.

Andrew McAdams, founder and Chief Executive, Jigsaw Services said, “For Jigsaw Services’ customers the acquisition means business as usual. But the new ownership by Red Rock and backing from UXC gives us a strong platform for continued growth and improved profitability.”

“Over the past two years Jigsaw Services has grown by more than 200 per cent and cemented its position as the preferred JD Edwards supplier in key markets. But for the business and our team, growth is the next critical stage. The opportunities that come from being part of a larger organisation are important as they will help open up opportunities in the eastern states,” said McAdams.

Jigsaw Services has set aggressive growth targets for the next 24 months, with the twin goals of doubling its revenue and its workforce. Its immediate focus will be to build its teams in the eastern states.

“We are in the market for 35 experienced JD Edwards specialists and 20 graduates, and have had a really strong response to date. This indicates the company is attractive to both skilled employees and new entrants,” said McAdams.

Following the acquisition, Red Rock will have a team of more than 300 consultants in offices in Sydney, Adelaide, Melbourne, Brisbane, Canberra, Auckland and Wellington.

According to Red Rock, the acquisition will be immediately earnings per share positive.
